What Is Independent Legal Advice?
Independent Legal Advice (ILA) is a formal legal opinion provided by a lawyer who acts exclusively for one party in a transaction — completely independent of the other party and their lawyer. When you receive ILA, your lawyer reviews a legal document with you, explains what it means, and confirms in writing that you understood the document and signed it freely and voluntarily.
An ILA certificate is a signed statement from a lawyer confirming that this process was completed. It is not merely a witness signature — it is a professional legal certification that you had the opportunity to seek counsel, that counsel was provided, and that you entered the agreement with full knowledge of its legal effect.
In Ontario, ILA is increasingly required by financial institutions, courts, and contracting parties as a condition of enforceability. Without ILA, certain agreements may be challenged or set aside on the basis that one party did not fully understand what they were signing.
